Key points
- Reading this page does not grant a licence. A licence exists only under a signed agreement or accepted quotation, once the licence fee is paid.
- You get a non-exclusive, non-transferable right to run Billsverse Nova for your own bills-payment business, on the domains and scope in your order.
- You own your brand, your customer data and your accounts with providers and gateways. We own the software.
- You are responsible for your retail service, provider float, gateway, hosting, regulatory compliance and your own customers.
- You may not resell, sublicense or redistribute the software itself without a written agency or reseller agreement.
This summary is for convenience. The full text below is what applies.
1. About this licence
This page sets out the standard licence terms for Billsverse Nova and related Billsverse software (the “Software”), provided by Misnova Technologies Limited, trading as Billsverse (“Billsverse”, “we”, “us” or “our”).
Your licence is formed only when you sign a licence agreement, or accept a written quotation that refers to these terms, and pay the applicable licence fee. That document will state your plan, the licensed domains or instances, the modules included, the licence term, the fees and the support period (your “Order”).
If your Order conflicts with this page, your Order prevails. Where your Order is silent, these terms apply.
2. Definitions
- “Customer”, “you” or “your” means the business named in the Order.
- “Software” means Billsverse Nova and any other Billsverse software named in the Order, including its code, admin console, storefront templates, documentation and any updates we provide.
- “Instance” means one installation of the Software running on one primary domain, together with its admin console and storefront.
- “Your Data” means data entered into or generated by your Instance, including your customers’ records, transactions and settings.
- “Third-Party Services” means services not provided by Billsverse, such as hosting, domains, payment gateways, VTU and bill-payment providers, and SMS and email providers.
3. Licence grant
Subject to payment of the licence fee and your compliance with these terms, we grant you a non-exclusive, non-transferable, non-sublicensable licence, for the term stated in your Order, to:
- install and run the Software on the number of Instances stated in your Order
- brand and configure the storefront and admin console with your own name, logo, colours, services and prices
- allow your staff, contractors and customers to use the Software in connection with your business
- make reasonable backup copies for disaster recovery
The Software is licensed, not sold. All rights not expressly granted to you are reserved by Billsverse.
4. Licence types
Your Order will state which licence model applies:
| Model | What you get |
|---|---|
| One-time licence | A single fee for a perpetual right to use the version of the Software delivered, with updates and support for the period stated in your Order. Updates after that period may need a renewal or support plan. |
| Subscription licence | A recurring fee for the right to use the Software, including updates and support, for as long as the subscription stays active. |
5. Restrictions
Unless your Order expressly allows it, you must not:
- sell, resell, rent, lease, sublicense, distribute or give the Software, or a copy of it, to anyone else, or offer it to others as a white-label product or hosted service
- run the Software on more Instances or domains than your Order allows
- remove, change or hide any copyright, licence or proprietary notices in the Software
- reverse engineer, decompile or disassemble any part of the Software supplied in compiled or obfuscated form, except where the law expressly allows it
- use the Software, or knowledge of it, to build a competing product
- use a demo, trial or sandbox environment to process live customer transactions
- use the Software for any unlawful purpose, including fraud, money laundering or selling services you are not authorised to provide
- circumvent any licence check or technical limitation in the Software
Agencies and studios building platforms for clients need an agency or reseller agreement, which we can provide on request.
6. Ownership and intellectual property
Billsverse and its licensors own all rights, title and interest, including intellectual property rights, in the Software, its documentation, and any modifications, improvements or derivative works we create, including customisations made for you, unless your Order states that ownership of specific bespoke work transfers to you.
You own your brand, logos and the content you add to your Instance. You give us a limited permission to use them only to deliver the services in your Order.
If you send us suggestions or feedback about the Software, we may use them freely and without any obligation to you.
7. Your data and your customers
You own Your Data. Under the Nigeria Data Protection Act 2023, you are the controller of your customers’ personal data. You are responsible for having a lawful basis to process it, for publishing your own privacy notice and terms for your customers, and for responding to their requests.
Where you host the Software yourself, we do not have access to Your Data unless you give it to us. Where we access your Instance to provide setup or support, we act as your data processor: we process Your Data only on your documented instructions and for that purpose, keep it confidential, protect it with appropriate security measures, and delete or return it when the work ends. Data processing terms can be attached to your Order on request.
The licence does not make Billsverse the seller of airtime, data or bill-payment services to your customers. You are the merchant for your own retail service.
8. Your responsibilities
You are responsible for:
- opening, funding and managing your own accounts with VTU and bill-payment providers, payment gateways, hosting providers and domain registrars, and paying their fees
- keeping your provider float, gateway balances and customer wallet records reconciled
- the security of your servers, credentials, API keys and admin accounts, including using strong passwords and limiting staff access
- your pricing, customer service, refunds and dispute handling with your own customers
- obtaining any business registrations, licences or approvals your business needs, and complying with the laws that apply to you, including consumer protection, data protection, anti-money-laundering and tax laws
- keeping regular backups of Your Data where you host the Software
9. Third-party services
The Software connects to Third-Party Services that you choose and contract with directly. We do not control them and are not responsible for their availability, pricing, accuracy, outages, settlement times or decisions, including a provider declining a transaction or a gateway holding funds.
We confirm compatibility with your chosen providers before setup. Integrations may need updating when a provider changes its systems, and that work is covered by your support plan or quoted separately.
10. Updates and support
During your support period, we provide the support described in your Order, which typically includes:
- bug fixes and security updates for the licensed version
- feature updates, where your plan includes them
- help with using and configuring the Software through our support channels
- guidance on connecting supported Third-Party Services
Support does not include fixing problems caused by changes made to the Software by anyone other than Billsverse, by your hosting environment or by Third-Party Services; recovering data you did not back up; or new features and customisations, which are quoted separately.
11. Fees and payment
Fees, payment schedules and what is included are stated in your Order. Licence fees exclude hosting, domains, gateway charges, provider funding, SMS and email services and advertising, unless your Order lists them.
Invoices are payable by bank transfer within the period stated on the invoice. We may pause support, updates or delivery while an invoice is overdue. Refunds are governed by your Order and our refund policy.
12. Confidentiality
Each party will keep confidential the other’s non-public information received in connection with the licence, including the Software’s code, pricing and Your Data, and use it only to perform the agreement. This does not apply to information that becomes public through no fault of the receiving party, that it already knew, or that it must disclose by law.
13. Warranty
We warrant that, for 30 days from delivery, the Software will perform substantially in line with its documentation and your Order when used as intended in a supported environment. If it does not, we will correct the defect or, if we cannot do so within a reasonable time, refund the licence fee for the affected part of the Software.
Except as stated above, and to the fullest extent permitted by law, the Software is provided without any other warranty. We do not warrant that it will be uninterrupted or error-free, that it will meet every requirement of your business, or that your business will achieve any level of sales or profit.
14. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill or data, arising from the licence.
Our total liability arising from or in connection with the licence will not exceed the fees you paid for the Software in the 12 months before the event giving rise to the claim.
These limits do not apply to liability for fraud, for death or personal injury caused by negligence, or to any liability that cannot be limited under Nigerian law.
15. Indemnities
You will indemnify us against claims by your customers or other third parties arising from your retail service, your use of Third-Party Services, Your Data, or your breach of these terms or the law.
We will indemnify you against claims that the Software, as delivered by us and used in line with these terms, infringes a third party’s intellectual property rights in Nigeria, provided you tell us promptly about the claim and let us control its defence.
16. Suspension and termination
Either party may end the licence by written notice if the other materially breaches these terms and does not put the breach right within 30 days of being told about it. We may suspend or end the licence immediately if the Software is used for unlawful activity.
A subscription licence ends if the subscription is not renewed. When the licence ends, you must stop using the Software and delete all copies of it. Your Data remains yours: where we host or hold it, we will make an export available on request for 30 days after the licence ends.
The sections on ownership, confidentiality, liability, indemnities and governing law continue to apply after the licence ends.
17. Governing law and disputes
The licence is governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute through good-faith discussion for 30 days. If that fails, the dispute will be referred to the courts of competent jurisdiction in Nigeria, unless your Order provides for mediation or arbitration.
18. Requesting a licence
To request a licence, a sample agreement or a quotation, email hello@billsverse.com or request a quote.
